Terms and Conditions

Please read these Terms and Conditions (“Terms”) carefully. By accessing and using the services of Triple-J Technologies (“Triple-J”), you agree to be bound by these Terms.

 

1. Scope of Services

 

Triple-J Technologies provides specialized consulting, design, implementation, and managed services related to network architecture, satellite communications, mission-critical systems, and IT infrastructure.

  • Service Delivery: All services are provided as defined in a separate, mutually agreed-upon Statement of Work (SOW) or Service Agreement. In the event of a conflict, the SOW shall supersede these Terms.

  • Excluded Services: These Terms do not include hardware supply, third-party licensing fees, or services explicitly excluded from the SOW.

 

2. Payment and Billing

 

  • Consulting Fees: Fees for services will be invoiced as defined in the SOW or Service Agreement.

  • Payment Terms: Payment terms are generally Net 30 days from the invoice date unless otherwise specified in the SOW.

  • Deferred Payment (Startup Clause): [Optional Section: If using a success-based model, insert the agreed-upon deferred payment clause here, linking payment to a specific milestone.]

 

3. Intellectual Property (IP) and Ownership

 

  • Client Ownership: Upon full payment of all fees due, the client owns the copyright to the final, completed website design, custom reports, and unique network diagrams delivered by Triple-J.

  • Triple-J Rights: Triple-J retains all intellectual property rights to the core underlying tools, methodologies, and proprietary code used to develop and implement the infrastructure and web design.

 

4. Limitation of Liability

 

Triple-J Technologies makes no guarantee of continuous, error-free operation of any network or system.

  • Service Outages: In the event of a service outage or disruption, Triple-J’s liability shall be limited to the fees paid for the specific service component that failed. Triple-J is not liable for any indirect, incidental, or consequential damages, including loss of data or loss of profit, resulting from the use or inability to use the services.

  • Third-Party Services: Triple-J is not responsible for the performance or availability of third-party hardware, software, or licensing (e.g., AWS, Microsoft, third-party satellite providers).

 

5. Governing Law

 

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada and the federal laws of Canada applicable therein.
